Terms of Service
These Terms of Service ("Terms") govern your access to and use of FounderGrid, the B2B marketplace and founder network operated by Mutable Software Ltd, a company registered in England and Wales ("we", "us" or "our"). By accessing or using FounderGrid you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. The Service
FounderGrid is a marketplace and network that connects early-stage founders who are simultaneously buyers and sellers of B2B products and services. The platform allows members to list their own offerings, discover and purchase from other members, and build relationships within the founder community.
We reserve the right to modify, suspend or discontinue any part of the service at any time, with reasonable notice where practicable.
2. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into binding contracts to use FounderGrid. By registering, you confirm you meet these requirements.
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us promptly at hello@foundergrid.io if you suspect unauthorised access.
We may suspend or terminate accounts that violate these Terms, engage in fraud or are inactive for an extended period, without liability to you.
3. Marketplace Conduct
As a seller
You may list genuine products or services that you own or are authorised to sell. Listings must be accurate and not misleading. You are solely responsible for fulfilling any transactions you agree to.
As a buyer
You agree to honour commitments made to sellers and to engage in transactions in good faith. Disputes with sellers are between you and the seller; we may offer mediation at our discretion but are not a party to transactions.
Prohibited conduct
You must not:
- Post false, misleading or defamatory content.
- Solicit, harvest or misuse other members' contact information.
- Use the platform to distribute spam, malware or unsolicited marketing.
- Circumvent plan limits or other access controls.
- Impersonate any person or organisation.
- Violate any applicable law or regulation, including export controls and sanctions.
4. Subscriptions and Payments
FounderGrid offers a free plan and a paid Premium subscription. Premium is charged per company account, billed monthly or annually, and covers every founder on that account. Plan features and limits are shown on our pricing page and may change from time to time.
Purchases and payments between members happen outside FounderGrid. We do not process, charge fees on or take commission from transactions between members.
All fees are stated exclusive of VAT. VAT will be added at the applicable rate where required. Payments are processed by our third-party payment provider and are subject to their terms.
Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
5. Intellectual Property
FounderGrid and all associated trademarks, logos, software, and content are owned by Mutable Software Ltd or our licensors. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the platform.
You retain ownership of content you post to the platform. By posting content, you grant us a non-exclusive, worldwide, royalty-free licence to host, display, and distribute that content as necessary to operate the service.
6. Third-Party Services
FounderGrid integrates with third-party services (such as payment processors and analytics providers). Your use of those services is subject to the third party's own terms and privacy policies. We are not responsible for the acts or omissions of third-party service providers.
7. Disclaimers
The platform is provided "as is" and "as available." We make no warranty that the service will be uninterrupted, error-free or free of viruses. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
We do not verify the identity of members or the accuracy of listings. Any reliance on information provided by other members is at your own risk.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Mutable Software Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of, or inability to use, the platform, including loss of profits, data or goodwill.
Our total aggregate liability to you for any claim arising out of or relating to these Terms shall not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) £100.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or any other liability that cannot be excluded under English law.
9. Indemnification
You agree to indemnify and hold harmless Mutable Software Ltd, its officers, employees, and agents from any claims, damages or expenses (including reasonable legal fees) arising from your use of the platform, your content or your violation of these Terms.
10. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms or that continued access poses a risk to other members or the integrity of the platform.
On termination, your right to access the platform ceases immediately. Provisions that by their nature should survive termination (including IP rights, disclaimers, and limitation of liability) will continue to apply.
11. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where changes are material, notify you by email or by a prominent notice on the platform. Continued use after changes take effect constitutes acceptance of the revised Terms.
